How to order it

  1. Clear any past-due filings first. The New Jersey Division of Revenue will not issue a certificate while you have unpaid tax or an unfiled report. The state-specific requirements are in the points below.
  2. Order it online. Search your LLC in the New Jersey portal, request the certificate, and download it. Link in the table above.
  3. Pay the $50 fee. Pay by card at checkout. A small card surcharge usually applies.
  4. Use it inside the recipient's window. The certificate has no state expiration, but banks and other states usually want one dated within the last 30 to 90 days. Order it close to when you need it.

New Jersey issues Standing Certificates through the Division of Revenue and Enterprise Services Business Records Service at njportal.com. THREE types exist and all three can be obtained online: short form standing at $50 for an LLC, and two long forms at $100, one adding officers and directors and one adding charter documents. Most foreign-qualification purposes need only the short form. WATCH THE $25 FIGURE: that is the corporation and limited partnership price and it covers both their short and long forms. In New Jersey an LLC pays double a corporation. A status report is a different and cheaper product at $5 and is not a standing certificate. Expediting to 8.5 business hours costs $25 for an LLC, same day $50. The Annual Report, $75 for LLCs and due by the last day of the anniversary month, must be current.

Important to know about New Jersey

  • New Jersey has TWO tiers: Short Form ($50) and Long Form ($100). The Long Form adds detailed registration and compliance history - required for some M&A transactions but unnecessary for most foreign qualification filings.
  • Annual Report is $75 for LLCs, due by the last day of the anniversary month. NJ assesses a $25 fee for registered agent changes filed with the annual report.
  • An LLC with MORE THAN TWO members that has New Jersey source income owes a partnership filing fee of $150 per member, capped at $250,000, paid with the NJ-1065 return. This is on top of the $75 annual report. Single-member and two-member LLCs do not owe it at all. Both the report and any fee owed must be current for good standing.
  • Online orders through the NICUSA-NJ payment processor add a service fee on top of the state charge: $3.00 by credit card on everything, and by eCheck $0.50 on an annual report or reinstatement but $1.00 on an ending-business filing or a standalone registered agent change. The LLC annual report itself is $75.
  • NJ issues a free Business Status Report through njportal.com that some parties will accept in lieu of a paid Standing Certificate. Check with the receiving party before paying.
