How to order it

  1. Clear any past-due filings first. The Oklahoma SOS will not issue a certificate while you have unpaid tax or an unfiled report. The state-specific requirements are in the points below.
  2. Order it online. Search your LLC in the Oklahoma portal, request the certificate, and download it. Link in the table above.
  3. Pay the $20 fee. Pay by card at checkout. A small card surcharge usually applies.
  4. Use it inside the recipient's window. The certificate has no state expiration, but banks and other states usually want one dated within the last 30 to 90 days. Order it close to when you need it.

The certificate is NOT on the downloadable forms index, so a reader sent to the forms page will not find it. Oklahoma queues certificate orders for staff processing and emails a link when the order is ready; payment is taken then, not at order time. Oklahoma also issues a Certificate of Fact, which states specific facts about an entity, and a Long-form Certificate of Fact, which sets out the complete filing history. BOTH START AT $20 and the fee schedule adds $10 for each additional page, so a long filing history costs more than the base price. Certified copies of filed documents are also available.

Important to know about Oklahoma

  • The Oklahoma LLC Annual Certificate ($25, due on the entity's formation anniversary each year) must be current. Oklahoma calls it an "Annual Certificate", not an "Annual Report". A 60-day grace period applies; after that the LLC ceases to be in good standing and 18 O.S. 2055.2(E) bars the Secretary of State from issuing a certificate of good standing until it is reinstated. Reinstatement itself has no fee, but every missed Annual Certificate must be filed and paid, so three years delinquent means $75 of back filings before a $20 certificate can issue. 18 O.S. 2055.2(F) also bars a delinquent LLC from maintaining an action in Oklahoma courts.
  • If the LLC is not reinstated within 3 years, Oklahoma moves it to a "Cancelled" status; after 6 years the name becomes available to any other entity.
  • Oklahoma adds a 4 percent convenience fee for paying by credit card, so a $20 certificate costs $20.80 on a card. It is a card charge rather than an online-filing charge, it applies to telephone orders too, and paying by check, cash or money order avoids it.
