How to order it

  1. Clear any past-due filings first. The Utah Division of Corporations will not issue a certificate while you have unpaid tax or an unfiled report. The state-specific requirements are in the points below.
  2. Order it online. Search your LLC in the Utah portal, request the certificate, and download it. Link in the table above.
  3. Pay the $12 fee. Pay by card at checkout. A small card surcharge usually applies.
  4. Use it inside the recipient's window. The certificate has no state expiration, but banks and other states usually want one dated within the last 30 to 90 days. Order it close to when you need it.

Issued by the Utah Department of Commerce, Division of Corporations and Commercial Code, not by a Secretary of State. There are two documents at two prices and THEY ARE ORDERED DIFFERENTLY. The Regular, or short form, is $12, is one page, and is bought inside the Business Registration System, which emails it automatically once you pay. The long form is $20, adds the list of filed documents, and CANNOT BE ORDERED ONLINE: send the order form by post to P.O. Box 146705, Salt Lake City UT 84114-6705, hand it in at 160 E. 300 S., 1st Floor, or email it and wait for a payment link. Written orders take 3 to 10 working days. Expedite is $75 per document for 1 to 2 business days, which is pointless on the online short form and is the only way to accelerate the long form. A separate Letter of Good Standing from the State Tax Commission, which is free, addresses tax compliance.

Important to know about Utah

  • A DELINQUENT UTAH LLC CAN STILL BUY THE CERTIFICATE. The Division sells it to entities that are Current or Delinquent and refuses only those that are dissolved, expired, revoked or cancelled. That is not the good news it sounds like: the document "indicates the existence of the business entity and its status", so it will print Delinquent and a bank that asked for proof of good standing will reject it. The annual renewal is $18 and due by the end of the formation anniversary month. Renew first.
  • Short-form vs long-form matters: the short form ($12) covers basic existence and good standing. The long form ($20) includes entity history and detailed filing information, which some foreign states or acquirers require.
  • Utah does not maintain a Secretary of State; all business filings go through the Division of Corporations and Commercial Code under the Department of Commerce. Foreign-qualification checklists sometimes incorrectly reference a Utah SOS.
