Activities that do NOT require registration in Indiana

The following activities are explicitly carved out by statute. On their own, they do not require a foreign LLC to register in Indiana.

  • Suing, defending, mediating, arbitrating, or settling a legal claim
  • Handling internal company affairs, including meetings of owners or managers
  • Maintaining bank accounts
  • Keeping an office or agent to transfer, exchange, or register the company's own securities, or holding trustees or depositories for them
  • Selling through independent contractors
  • Soliciting or taking orders that must be accepted outside Indiana before they become contracts
  • Making loans, or creating or acquiring debts, mortgages, or security interests in property
  • Securing or collecting debts, enforcing mortgages or security interests, and holding or maintaining property acquired that way
  • Doing one isolated deal finished within 30 days that is not part of repeated similar deals
  • Simply owning property, and nothing more
  • Doing business in interstate commerce
  • For a nonprofit corporation, soliciting funds when Indiana law otherwise allows it

Under IC 23-0.5-5-5, all 12 items. Indiana uses the phrase "doing business," not "transacting business." Subsection (b) protects a person who is merely an interest holder or governing person. Subsection (c) disclaims service of process, taxation and regulation under other Indiana law. Subsection (d) states the list is not exhaustive and recodifies rather than repeals the four predecessor statutes, preserving prior case law.
