Nebraska requires a Notice of Organization published in a legal newspaper for three successive weeks, then proof of publication filed with the Secretary of State (Neb. Rev. Stat. 21-193). The proof filing costs $25 online or $30 in the office. The newspaper charge varies by paper and is not published by the state; Nebraska sets the legal-notice rate at $0.50 per line for the first insertion and $0.4334 per line thereafter (Neb. Rev. Stat. 33-141), and the notice itself is short. If you publish late, filing the proof still validates the company's acts from the start (21-193(3)).

Important to know

  • Newspaper publication is a DOMESTIC Nebraska duty and does not reach a foreign LLC registering here. Neb. Rev. Stat. 21-193 hangs it on the notice of organization, which is defined by the certificate of organization a foreign LLC never files, and 21-156 imposes nothing of the kind on the foreign application. If you are forming a Nebraska LLC rather than registering one, you must publish for three successive weeks and file proof at $25 online or $30 in the office.
  • The report is biennial, not annual, at $25 online and $30 by paper.

Activities that do NOT require registration in Nebraska

The following activities are explicitly carved out by statute. On their own, they do not require a foreign LLC to register in Nebraska.

  • Maintaining, defending, or settling an action or proceeding
  • Carrying on any activity concerning internal affairs, including holding meetings of members or managers
  • Maintaining accounts in financial institutions
  • Maintaining transfer, exchange, or registration offices for the company's own securities, or trustees or depositories for them
  • Selling through independent contractors
  • Soliciting or obtaining orders, by mail, electronic means, employees, or agents, if the orders require acceptance outside Nebraska to become contracts
  • Creating or acquiring debts, mortgages, or security interests in real or personal property
  • Securing or collecting debts, or enforcing security interests in the property securing them, and holding, protecting, or maintaining property acquired that way
  • Conducting an isolated transaction completed within 30 days that is not one of a series of similar transactions
  • Transacting business in interstate commerce

Under Neb. Rev. Stat. Section 21-157. Nebraska has NO property-ownership safe harbor, and subsection (b) reverses it: owning income-producing real or tangible personal property in Nebraska DOES constitute transacting business.
