Virginia publishes no standard processing time for this filing. Its only published turnaround is purchased and online only: $50 or $100 for a filing response by 4pm the following business day if submitted by 2pm, or $200 for the same business day if submitted by 10am. The SCC states that you may not expedite a paper submission

The Commission publishes both next-day prices without saying which filings take which, and shows the price at the payment step, so budget for $100 rather than $50. Expedite fees are not refunded, each resubmission needs its own fee, and a paper submission cannot be expedited at all

Important to know

  • Virginia LLCs file no conventional annual report. The recurring $50 is an annual registration fee assessed by the State Corporation Commission, which is why searching for a Virginia annual report turns up little.

Activities that do NOT require registration in Virginia

The following activities are explicitly carved out by statute. On their own, they do not require a foreign LLC to register in Virginia.

  • Maintaining, defending, or settling any proceeding
  • Holding meetings of members or carrying on internal company affairs
  • Maintaining bank accounts
  • Maintaining offices or agencies for transfer, exchange, and registration of the company's own securities
  • Selling through independent contractors
  • Soliciting or obtaining orders, if the orders require acceptance outside Virginia
  • Creating or acquiring indebtedness, deeds of trust, and security interests in property
  • Securing or collecting debts, or enforcing deeds of trust and security interests
  • Owning real or personal property, and nothing more
  • Conducting an isolated transaction completed within 30 days that is not one of repeated transactions
  • Motion picture, television, or commercial production activity for less than 90 consecutive days
  • Serving only as a general partner of a limited partnership that does not otherwise transact business in Virginia
