Wyoming publishes a maximum of fifteen business days: documents received through the post are reviewed in the order they are received with a maximum processing time of fifteen business days, and the registration form repeats it. Since 1 July 2026 Wyoming has also sold expedited filing at $700 for next business day or $1,400 for same business day

$700 for next business day if received by 5pm Mountain, or $1,400 for same business day if received by noon. Wyoming only began selling this on 1 July 2026. It cannot be bought by post, which matters here because the registration itself must be posted: expedite is taken in person at Cheyenne or by email using a prepaid account. It buys priority examination, not approval, and the price is set by rule rather than by statute so it can move without legislation

Wyoming has no state income tax on individuals, businesses or trusts. Forming an LLC costs $100. The annual report is a license tax rather than a flat fee: the greater of $60 or $0.0002 per dollar of assets located and used in Wyoming. An LLC holding $1 million of Wyoming assets pays $200 a year.

Activities that do NOT require registration in Wyoming

The following activities are explicitly carved out by statute. On their own, they do not require a foreign LLC to register in Wyoming.

  • Maintaining, defending, or settling any proceeding
  • Holding meetings of directors or shareholders, or carrying on internal corporate affairs
  • Maintaining bank accounts
  • Maintaining offices or agencies for transfer, exchange, and registration of the entity's own securities
  • Selling through independent contractors
  • Soliciting or obtaining orders, if the orders require acceptance outside Wyoming
  • Creating or acquiring indebtedness, mortgages, and security interests in property
  • Securing or collecting debts, or enforcing mortgages and security interests
  • Owning real or personal property, and nothing more
  • Conducting an isolated transaction completed within 30 days that is not one of repeated transactions
  • Transacting business in interstate commerce

Under Wyo. Stat. Section 17-16-1501(b). Wyoming has NO foreign-LLC activities list in its own LLC Act: Chapter 29 Article 8 is "Reserved", and Section 17-29-114 routes foreign LLCs to the Business Corporation Act provisions, so the list a foreign LLC must read is drafted for corporations. No tax or service-of-process disclaimer. Subsection (d): a foreign entity acting as organizer, manager or member of a company does not need a certificate of authority for that role alone. The isolated-transaction carve-out carries a 30-day limit.
