Activities that do NOT require registration in Illinois

  • Maintaining or defending a lawsuit
  • Holding meetings of members or managers
  • Maintaining bank accounts
  • Selling through independent contractors
  • Conducting isolated transactions completed within 30 days

Illinois's Limited Liability Company Act, codified at 805 ILCS 180, lists activities at Section 45-47 ('Activities that do not constitute transacting business'). Section 45-5 is the corresponding 'Admission to transact business' provision (the registration requirement). Illinois deviates from the standard RULLCA list in two ways: (1) the isolated transaction window is 120 days rather than the typical 30 days, and (2) the enumeration is shorter (9 items rather than the typical 11-12), notably omitting interstate commerce and creating/acquiring indebtedness. The previous citation to 805 ILCS 180/45-5 was incorrect.
