Important to know about Wyoming

  • The electronic version is FREE and available instantly - a major differentiator. Most receiving parties accept the electronic PDF with validation number. Reinstatement is $100 where the missed annual report was the ground, or $350 where the LLC lost its registered agent, plus the delinquent reports and their license tax.
  • Some foreign filings (notably Maryland and New York) require a "certified" original certificate rather than the electronic version. Verify with the receiving state before relying on the free electronic certificate.
  • Wyoming does not impose a state income or franchise tax on LLCs, so good standing is strictly about the annual report and registered agent compliance.
