Note: Ohio uses the term "statutory agent" rather than "registered agent"; they are the same role. File Form 521 with the Ohio Secretary of State online through Ohio Business Central or by mail. The new statutory agent must sign the Acceptance of Appointment on the form. Ohio does not require LLCs to file annual reports, so the change is always a standalone filing and the $25 cannot be bundled away. Post regular filings to PO Box 788, Columbus OH 43216, and level 1 expedited filings to PO Box 1390, Columbus OH 43216. LEVELS 2 AND 3 CANNOT BE POSTED: OAC 111:1-2-01(E) allows only level 1 by mail, and the other two require hand delivery to the Client Service Center. Make cheques or money orders payable to "Ohio Secretary of State".

How to change your registered agent in Ohio

  1. Choose your new registered agent first. Do not file the change form until you have a new agent lined up. The new agent has to consent to the appointment, and most states will not process the change without that consent in hand. If you let coverage lapse, the Ohio SOS can administratively dissolve your LLC.

    Two ways to go. Name yourself or someone you know. Nothing to pay beyond the state filing fee above, but your address goes in the public record and somebody has to be there during business hours to accept legal mail.

  2. Get the Statutory Agent Update (Form 521). Download the form ↗ You can file this online through the Ohio Secretary of State portal. The form requires your LLC name, the new agent name and address, and a signature. The new agent must consent to the appointment.
  3. Pay the $25 filing fee. Pay by credit card during the online filing. A small processing surcharge usually applies. Mail filings accept check or money order; confirm the exact payee on the form before you send it, because it is not the Secretary of State in every state.
  4. Notify your old agent. Once the change is processed, your old agent's responsibility ends. If you are paying them an annual fee, cancel that subscription so it does not auto-renew. Most agents do not refund the unused portion, so time the cancellation against your renewal date.
  5. Verify the change in state records. Search your LLC name on the Ohio SOS business search and confirm the new registered agent is listed. Check back after the processing window shown above.

Important to know about Ohio

  • Ohio uses "statutory agent" instead of "registered agent" - same role, different name.
  • Ohio LLCs do not file annual reports, so this change cannot be bundled with another filing to save money. The $25 fee is unavoidable.
  • Form 521 carries the instruction "Form Must Be Typed" in its header.
  • The statutory agent address must be a street address in Ohio. ORC 1706.09(C)(2) excludes "a post office box, regardless of whether that post office box has an associated street address", which is what rules out a mailbox-store address. A second test applies as well: the place must be "customarily open during normal business hours" with someone present who is authorised to act as agent. If the agent is an individual, the address must be their primary residence in Ohio.
