Note: Missouri charges $10 to change the registered agent, the same amount however it is filed. File Corp. 59 by mail with the Corporations Division, PO Box 778, Jefferson City MO 65102. The Secretary of State publishes this filing only as a downloadable form and does not list it among the filings its online portal accepts, so plan on a paper filing. The new registered agent must sign the form, or a separate written consent must be attached. Make cheques payable to "Secretary of State". The agent address must be in Missouri; a PO box can only be used in combination with a physical street address.

How to change your registered agent in Missouri

  1. Choose your new registered agent first. Do not file the change form until you have a new agent lined up. The new agent has to consent to the appointment, and most states will not process the change without that consent in hand. If you let coverage lapse, the Missouri SOS can administratively dissolve your LLC.

    Two ways to go. Name yourself or someone you know. Nothing to pay beyond the state filing fee above, but your address goes in the public record and somebody has to be there during business hours to accept legal mail.

  2. Get the Statement of Change of Registered Agent and/or Registered Office by a Foreign or Domestic For Profit or Nonprofit Corporation or a Limited Liability Company (Corp. 59). Download the form ↗ Missouri requires a paper filing for this change. Print the form, fill it in, and have the new registered agent sign the consent section. Both the change form and any required consent form must be submitted to the Missouri Secretary of State.
  3. Pay the $10 filing fee. Mail filings accept check or money order. Confirm the exact payee on the form before you send it, because it is not the Secretary of State in every state. Include payment with the form.
  4. Notify your old agent. Once the change is processed, your old agent's responsibility ends. If you are paying them an annual fee, cancel that subscription so it does not auto-renew. Most agents do not refund the unused portion, so time the cancellation against your renewal date.
  5. Verify the change in state records. Search your LLC name on the Missouri SOS business search and confirm the new registered agent is listed. Check back after the processing window shown above.

Important to know about Missouri

  • The Secretary of State routes this filing to a downloadable PDF. Its online portal at bsd.sos.mo.gov handles registration, annual and biennial reports and certificate orders, but the SOS does not publish a registered agent change among them.
  • Missouri LLCs file no annual report at all, so there is no report route to change an agent through and no report deadline to time the change against. Form Corp. 59, the Statement of Change of Registered Agent and/or Registered Office, is the filing, and it costs $10.
  • Missouri publishes no return-copy instruction for this filing. Corp. 59 states the $10 fee and nothing about enclosing an envelope or filing in duplicate, so do not plan around either.
